Terms of Use

1. Terms of Service

These Terms of Use ("Terms") constitute an agreement between SharpAI LLC ("SharpAI", "Company", "we", "us") and the person or entity that downloads, installs, or uses the SharpAI Aegis desktop application and related services ("You", "Your", "User").

If the person downloading or using the Software is an employee, agent, or contractor of a corporate entity and using the Software within the scope of their employment or primarily for the benefit of the corporate entity, these Terms are between the corporate entity and SharpAI — and the corporate entity is the User.

By downloading, installing, or using the Software, You agree to be bound by these Terms. If You do not agree to these Terms, You must not download or use the Software.

2. Definitions

  • "Software" means the SharpAI Aegis desktop application made available by SharpAI to You via download, and any modified, updated, or enhanced versions that SharpAI makes available.
  • "Services" means the auto-update service, diagnostic reporting service, and any other services provided by SharpAI in connection with the Software.
  • "Content" means all data processed by the Software on Your device, including but not limited to video footage, images, AI analysis results, chat conversations, and event timelines.
  • "Third-Party Products" means third-party software and services that the Software may integrate with, including camera providers (e.g., Blink, Ring), AI model providers (e.g., Google Gemini, OpenAI, Anthropic, LM Studio), and messaging platforms (e.g., Discord, Telegram).
  • "Documentation" means any published instructions, user manuals, and system requirements provided with the Software.

3. License Grant and Restrictions

License Grant

Subject to the terms and conditions of these Terms, SharpAI grants to You a non-exclusive, non-transferable, revocable license to use the Software solely for Your personal and/or internal business purposes and solely in accordance with the Documentation.

Restrictions on Use

You acknowledge that the Software and its structure, organization, and source code constitute valuable trade secrets and confidential information of SharpAI. You agree that You will not, and will not permit any third party to:

  • Modify, adapt, translate, or create derivative works from the Software;
  • Sublicense, distribute, sell, lease, rent, or otherwise transfer the Software to any third party;
  • Use the Software as a service bureau, application service provider, or software-as-a-service offering;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law;
  • Remove, alter, or obscure any copyright notices or proprietary rights notices included in the Software.

4. Your Content and Data

Ownership

You retain all rights, title, and interest in Your Content. SharpAI does not claim ownership of any video footage, images, AI analysis results, or other data processed by the Software on Your device.

Local Processing

The Software is designed to process and store Content locally on Your device. SharpAI does not have access to Your Content unless You explicitly configure third-party integrations that transmit data from Your device.

Responsibility

You are solely responsible for the legality, reliability, and appropriateness of Your Content, including compliance with all applicable laws regarding video surveillance, recording, and privacy in Your jurisdiction.

5. Third-Party Products and Services

The Software is designed to integrate with Third-Party Products. When You configure such integrations, You communicate directly with those third-party services. SharpAI facilitates these integrations with the understanding that:

  • Third-Party Products are made available to You pursuant to separate agreements between You and the third-party provider;
  • You are responsible for ensuring that Your use of Third-Party Products complies with applicable laws and the terms of those third-party providers;
  • SharpAI is not liable for any failure, unavailability, or damages resulting from Your use of Third-Party Products;
  • Any rights or remedies related to Third-Party Products are governed entirely by Your agreement with the respective third-party provider.

6. Proprietary Rights

The Software, Documentation, and all worldwide intellectual property rights therein are the exclusive property of SharpAI and its suppliers. All rights in and to the Software not expressly granted to You in these Terms are reserved by SharpAI.

7. Disclaimers

General Disclaimer

THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS", "WITH ALL FAULTS" AND WITHOUT WARRANTY OF ANY KIND. THERE ARE NO EXPRESS, IMPLIED, OR STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SHARPAI DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR OPERATE WITHOUT INTERRUPTION.

Security System Disclaimer

THE SOFTWARE IS NOT A SUBSTITUTE FOR A PROFESSIONALLY MONITORED SECURITY SYSTEM. SHARPAI DOES NOT GUARANTEE THAT THE SOFTWARE WILL DETECT ALL EVENTS, THAT ALERTS WILL BE DELIVERED IN A TIMELY MANNER, OR THAT THE AI ANALYSIS WILL BE ACCURATE OR FREE FROM FALSE POSITIVES OR FALSE NEGATIVES. YOU SHOULD NOT RELY SOLELY ON THE SOFTWARE FOR THE PROTECTION OF PERSONS OR PROPERTY.

AI Disclaimer

AI-POWERED FEATURES INCLUDING OBJECT DETECTION, SCENE ANALYSIS, AND CONVERSATIONAL AI ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY. AI OUTPUTS MAY CONTAIN ERRORS, INACCURACIES, OR HALLUCINATIONS. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING AND ACTING UPON ANY INFORMATION PROVIDED BY AI FEATURES.

8. Limitation of Liability

YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY PROBLEMS OR DISSATISFACTION WITH THE SOFTWARE IS TO UNINSTALL THE SOFTWARE AND STOP USING THE SERVICES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SHARPAI, ITS OFFICERS, SHAREHOLDERS, EMPLOYEES, AGENTS, DIRECTORS, SUBSIDIARIES, OR AFFILIATES BE LIABLE FOR: (A) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES; (B) ANY LOSS OF USE, DATA, BUSINESS, OR PROFITS (WHETHER DIRECT OR INDIRECT), ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, SERVICES, OR THIRD-PARTY PRODUCTS; OR (C) AGGREGATE LIABILITY EXCEEDING FIFTY U.S. DOLLARS ($50.00).

These Terms do not limit SharpAI's liability for fraud, fraudulent misrepresentation, or death or personal injury to the extent that applicable law would prohibit such a limitation.

9. Indemnification

You will indemnify, defend, and hold harmless SharpAI, its directors, officers, employees, and representatives from and against any damages, losses, and expenses (including reasonable attorneys' fees) arising out of: (a) Your breach of these Terms; (b) Your Content; (c) Your use of the Software or Services; or (d) Your violation of any law or the rights of a third party.

10. Privacy

Your use of the Software is also governed by our Privacy Policy, which describes the limited information we collect, how we use it, and your choices.

11. Term and Termination

Term

These Terms are effective from the date You first download or use the Software and continue until terminated.

Termination

You may terminate these Terms at any time by uninstalling the Software and ceasing all use. SharpAI may terminate these Terms at its discretion upon notice via the website or the Software.

Effects of Termination

Upon termination: (a) all license rights granted under these Terms immediately cease; and (b) You must promptly uninstall the Software and destroy all copies in Your possession.

12. General Provisions

  • Governing Law — These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
  • Entire Agreement — These Terms, together with the Privacy Policy, constitute the entire agreement between You and SharpAI regarding the Software.
  • Severability — If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver — No waiver of any provision of these Terms will be effective unless in writing and signed by SharpAI.
  • Assignment — You may not assign these Terms without SharpAI's prior written consent. SharpAI may assign these Terms freely.
  • Updates to These Terms — SharpAI may update these Terms from time to time. Continued use of the Software after changes constitutes acceptance of the updated Terms.
